Job Summary

The Vice President General Counsel and Corporate Secretary provides, or oversees the provision of, strategic, proactive and practical legal advice to the organization. This position serves as the Corporate Secretary and has responsibility to ensure the organization is properly qualified to do business in its footprint, the proper documentation of all board and board committee meetings and actions and the retention of all corporate governance documents. This position is the primary staff person for the board's Governance and Personnel Committee. In addition to the Legal and Corporate Secretary functions, this position oversees Communications and External Affairs, and Enforcement and is responsible for ensuring these functions are proactive and innovative in supporting MRO's Vision, Mission and strategic plan objectives while effectively and efficiently performing day-to-day work. This position is a member of Team Connect and provides strategic counsel and advice to the president and CEO.

Primary Responsibilities

Essential Duties and Responsibilities

  • Provides legal counsel and advice over a broad area of legal topics, directly or through others, to the board and all levels of the organization as appropriate. Selects outside counsel, supervises the work and development of the corporate counsel, and manages the legal budget for outside counsel. Counsel and advice must frequently take into account varied risks and relationship factors. 
  • Ensures that MRO is qualified to do business within its footprint. Develops, or reviews the development, and maintains all board and board committee records.
  • Provides strategic direction to the development of enforcement tools and execution of responsibilities to reduce risks to the reliable and secure operations of the bulk power system and promote highly effective reliability organizations. Oversees the Enforcement Department's work to ensure timely and accurate enforcement decisions, productive relationships within the ERO Enterprise and with registered entities.
  • Leads the Communications and External Affairs function by developing concepts, relationships and communications to execute MRO's Mission, Vision and Strategic Plan. Establishes guidelines for written communications and presentations. Supports internal clients in their written and oral communications. Maintains crisis communications capabilities. Establishes and supports MRO branding. 
  • Serves as a member of Team Connect and Team Curious.
  • Provides strategic advice, options, ideas and counsel to the president and CEO.

Qualifications

Qualifications, Education and Experience

  • BA or BS and Juris Doctorate from an ABA accredited school.
  • Active license in good standing in at least one state.
  • Active license in good standing in Minnesota or the ability to become licensed within one year of employment.
  • Fifteen to twenty years of legal experience with a minimum of five years' legal management and budget experience. Varied corporate legal experience including board governance, administrative law, employment, contracts and litigation. In-house industry experience desirable.
  • Technical knowledge and proficiency in Microsoft Office including, Word, Excel, PowerPoint, Outlook.  Must also possess proficiency with Adobe Acrobat.

Supervisory Responsibility

  • Supervises four functions including communications and external affairs, corporate secretary, enforcement, and legal and two professionals: an attorney and a paralegal report to this position

Physical Working Conditions and Travel Requirements

  • Standard office environment, requires mobility and sedentary work
  • This position must be available outside of normal business hours to be responsive and regularly requires work outside normal business hours.
  • Travel Requirement:  20%. Must possess or be able to acquire a passport or passport card for travel to Canada.
