The Midwest Reliability Organization Board of Directors is a hybrid board with two independent and seventeen stakeholder directors. The independent directors are elected by all voting members, and the stakeholder directors are elected by the members of seven industry sectors. The stakeholder positions are balanced in a way that assures regional reliability interests are equally represented--no two sectors can control a vote. This governance structure is permitted under the Energy Policy Act of 2005 for Regional Entities operating under delegated authority from the Electric Reliability Organization.

The board’s primary role is to assure the organization meets its requirements under the bylaws and Delegation Agreement as MRO performs its responsibilities with due care and in an efficient manner. The board has adopted policies and procedures to assure it carries out its responsibilities free of conflicts, and makes no determinations on compliance or enforcement matters.
